In a significant shift for the retail industry, Nordstrom, the iconic Seattle-based department store chain, has reached an agreement to transition from a public to private company through a $6.25 billion acquisition deal. The transaction, announced Monday, involves members of the Nordstrom family and Mexican retail giant El Puerto de Liverpool joining forces to purchase the century-old retailer.

Under the terms of the agreement, current shareholders will receive $24.25 in cash per share, representing a 42% premium over the company’s stock price from March 18, before speculation about a potential deal emerged in the media. The ownership structure will give the Nordstrom family a controlling stake of 50.1%, while Liverpool will hold the remaining 49.9%.

The deal marks a new chapter for Nordstrom, which began as a humble shoe store in 1901 and has since evolved into a major retail presence with more than 350 locations across its Nordstrom, Nordstrom Local, and Nordstrom Rack brands. The company’s board of directors
unanimously approved the transaction, with CEO Erik Nordstrom and Pete Nordstrom recusing themselves from the vote due to their family involvement in the takeover.

Like many traditional retailers, Nordstrom has faced challenges adapting to the digital commerce era dominated by online competitors and e-commerce leaders such as Amazon. The company has responded by implementing an omnichannel strategy that bridges physical and online retail experiences through features like real-time inventory tracking and integrated shopping systems.

Digital sales have become a crucial component of Nordstrom’s business model, accounting for 36% of total sales in 2023, though this represents a decrease from the pandemic-era peak of 55% in 2020\. The third quarter of the current fiscal year saw digital sales comprise 34% of total revenue, showing a 6.4% increase compared to the same period last year.

In an effort to enhance its digital presence, Nordstrom launched a new online marketplace earlier this year, expanding its product selection and brand offerings. The company has also undertaken strategic operational changes, including the recent consolidation of its corporate operations by closing offices in Los Angeles and Chicago while maintaining its Seattle headquarters as its primary corporate base.

El Puerto de Liverpool, Nordstrom’s new partner in this venture, brings substantial retail expertise to the table, operating two department store chains in Mexico – Liverpool and Suburbia – along with ownership of 29 shopping centers throughout the country.

“For over a century, Nordstrom has operated with a foundational principle of helping customers feel good and look their best,” said Erik Nordstrom in the announcement. “Today marks an exciting new chapter for the business. On behalf of my family, we look forward to working with our teams to ensure Nordstrom thrives long into the future.”

The privatization deal is expected to reach completion in the first half of 2025, pending customary closing conditions. This
transformation represents a significant milestone for one of America’s most recognized retail brands as it seeks to navigate the evolving landscape of modern commerce while maintaining its legacy of customer service and fashion leadership.

The move to private ownership could potentially provide Nordstrom with greater flexibility to implement long-term strategies without the pressures of quarterly earnings reports and public market scrutiny, allowing the company to focus on adapting to the continuing changes in retail consumer behavior and preferences.
