Shield AI said it has agreed to buy radar maker Echodyne for [$5.3 billion](https://shield.ai/shield-to-acquire-echodyne-in-a-transaction-valued-at-5-3-billion-and-raise-2-5-billion-at-a-28-8-billion-valuation/?ref=venture-block.com) and is raising $2.5 billion to back the deal, valuing the defense-tech company at $28.8 billion after the Series H round.

The package, announced November 5, 2026, pairs a late-stage equity raise with Shield's largest acquisition to date. Of the $5.3 billion transaction value, $4.8 billion is to be paid and issued at closing, with up to $500 million contingent on Echodyne meeting agreed performance targets. Closing is expected in early 2027, subject to regulatory approvals and other customary conditions.

The financing breaks into three pieces: a [$1 billion Series H](https://news.crunchbase.com/venture/biggest-startup-rounds-ai-defense-space-tech-shield-zipline/?ref=venture-block.com) co-led by Disruptive and Innovation X Capital at a $28.8 billion post-money valuation; a $1 billion structured equity investment from funds managed by Blackstone; and $500 million in debt led by JPMorgan Chase Bank as sole arranger. Series H participants include Advent, the Strategic Investment Group of JPMorganChase's Security and Resiliency Initiative, Snowpoint Ventures, Apandion, Center15 Capital, and others. Shield said Series H proceeds will be used principally to fund the Echodyne purchase.

## What Echodyne adds

Kirkland, Washington-based Echodyne builds compact solid-state radars using its Metamaterials Electronically Scanned Array (MESA) technology. According to Shield, those radars sit inside hundreds of counter-drone and security systems used by defense, government, and commercial customers in more than 40 countries. In September, Echodyne received a contract with a $250 million ceiling from Joint Interagency Task Force 401 to supply counter-drone radar to U.S. and allied forces.

Shield plans to fold Echodyne into its Mission Systems unit, alongside autonomy software (Hivemind), the V-BAT and X-BAT autonomous aircraft, and Aechelon simulation tools acquired earlier this year. Echodyne's products will remain available as standalone systems, and CEO Eben Frankenberg will report to Shield CEO Gary Steele while keeping responsibility for products, manufacturing, and customer work. Both companies said they expect triple-digit revenue growth in the current fiscal year.

[Bloomberg reported](https://finance.yahoo.com/technology/articles/shield-ai-hit-28-8-160003152.html?ref=venture-block.com) that Echodyne is Shield's fifth acquisition and its second in 2026, after the June purchase of visual-simulation firm Aechelon. The same report said the $2.5 billion financing is tied to the deal closing and will not proceed if the acquisition falls through.

## A sharper jump in private-market value

The $28.8 billion post-money figure more than doubles the $12.7 billion valuation Bloomberg said Shield struck in March 2026, when it raised $2 billion. Bloomberg also reported that Shield has raised about $5.4 billion in equity capital to date, employs nearly 2,300 people after more than doubling headcount over the past year, and expects to more than double revenue in the fiscal year ending March 2027\. More than half of current revenue, Steele told Bloomberg, already comes from international government customers.

Defense hardware and autonomy have drawn large checks across the sector in recent weeks. [Northwood Space raised $375 million](https://venture-block.com/northwood-space-375m-series-c-2b-ground-network/) to expand satellite ground networks, while industrial autonomy names such as [Bedrock Robotics](https://venture-block.com/bedrock-robotics-600m-series-c-autonomous-excavators/) have also closed nine-figure rounds. On the systems side, peers including [Anduril](https://venture-block.com/anduril-qualcomm-bluechip-us-made-laptop/) continue to push U.S.-assembled hardware aimed at government buyers.

## Counter-drone demand and dual use

Shield frames the purchase as a way into the counter-unmanned aircraft market and into dual-use sensing. Echodyne recently opened an 86,350-square-foot manufacturing plant—a $40 million investment—that the company says can produce about 30,000 radars a year. Steele told Bloomberg the radar business also reaches commercial security customers and could support public-safety and commercial-aviation uses beyond Shield's historical government end users.

[Jane's](https://www.janes.com/defence-intelligence-insights/defence-news/c4isr/shield-ai-finalises-agreement-to-acquire-echodyne?ref=venture-block.com) separately confirmed the definitive agreement and the $2.5 billion financing stack, citing Shield's statement that Echodyne radars are already integrated with remote weapon stations, high-energy lasers, high-power microwave systems, and interceptor cueing for incoming drones.

Advisers on the deal, per Shield, include J.P. Morgan Securities as exclusive financial adviser to Shield, with Wachtell, Lipton, Rosen & Katz and Covington & Burling on legal and regulatory work; Sullivan & Cromwell advised on financing. Echodyne's financial advisers were Morgan Stanley and Robert W. Baird, with Fenwick & West as legal counsel.

The next concrete milestone is the early-2027 closing window. Until then, the $2.5 billion package remains contingent on the Echodyne acquisition clearing its remaining conditions.
