Enterprise software company Smartsheet demonstrated continued growth in its third quarter financial results, reporting revenue of $286.9 million, marking a 17% increase compared to the same period last year. The Bellevue, Washington-based company also achieved profitability, posting a GAAP net income of $1.3 million, a significant improvement from its $32.4 million loss in the previous year’s quarter.

These results come as Smartsheet prepares for a major transition, following the announcement of its $8.4 billion acquisition deal with private equity firms Vista Equity Partners and Blackstone in September. The company recently concluded a 45-day “go-shop period” during which no alternative acquisition offers emerged from other potential buyers. The privatization deal is anticipated to complete by January’s end.

The acquisition price represents a substantial premium of
approximately 41% over Smartsheet’s volume weighted average closing price across the 90 trading days leading up to July 17, when Reuters first reported discussions about a potential deal.

Smartsheet, which made its public market debut in 2018, has
established itself as a leading provider of cloud-based work management solutions. The company’s platform enables organizations to manage projects, facilitate collaboration, store data, and automate various business processes. Its success is evidenced by its impressive client base, which includes 85% of Fortune 500 companies.

The company’s financial health continues to show strength, with its annualized recurring revenue reaching $1.13 billion in the third quarter. Cash flow performance also improved significantly, with net cash flow increasing to $63.5 million, up from $15.1 million in the same quarter of the previous year.

Since its founding in 2005, Smartsheet has grown to employ more than 3,300 people. Following the acquisition announcement in September, no immediate changes have been disclosed regarding the company’s workforce size or the status of its headquarters location.

The company’s successful quarter reflects its strong position in the enterprise work management market, where its software solutions help organizations streamline operations and improve productivity. The platform’s comprehensive capabilities, including project tracking, task automation, and data management, have made it an essential tool for large enterprises seeking to digitize and optimize their work processes.

The pending acquisition by Vista Equity Partners and Blackstone marks a new chapter for Smartsheet, transitioning from a public company back to private ownership. This move comes at a time when private equity firms are showing increased interest in enterprise software companies with stable recurring revenue streams and strong market positions.

The deal represents one of the significant technology acquisitions of the year and highlights the continued appeal of established
software-as-a-service (SaaS) companies to private equity investors. With its robust financial performance, growing customer base, and strategic importance to large enterprises, Smartsheet exemplifies the type of technology company that attracts major private equity investment.

As Smartsheet approaches its transition to private ownership, it maintains its momentum in the enterprise software market, demonstrated by its continued revenue growth and improved profitability. The company’s success in serving major corporations and its ability to generate substantial recurring revenue suggest it will remain a significant player in the enterprise work management space under its new ownership structure.
